There is a specific category of Australian mid-market firm that shows up in AI conversations with a recognisable problem. They have leadership buy-in for AI. They have a clear use case. They have budget. And they have a SQL Server 2012 instance running their core operational data, a .NET 3.5 application that nobody has touched since 2018, and an ERP that generates reports by emailing CSV files to the finance manager.
The AI conversation stalls because the data infrastructure conversation has not happened yet.
This is a practical roadmap for bridging that gap — not a theoretical architecture document, but a sequenced set of decisions and interventions that move a mid-market firm from legacy-constrained to AI-ready in 12 to 18 months without betting the business on a single large rewrite.
Why "just upgrade the database" is not the answer
The instinct when facing a SQL Server 2012 instance is to treat it as a database upgrade problem. Upgrade the database engine, job done.
The problem is that by the time a mid-market firm is still running SQL Server 2012 in 2026, the database is usually the least of the issues. The application layer built on it has accumulated 14 years of business logic in stored procedures. The reporting layer is a combination of Crystal Reports files, Access databases someone built in 2011, and Excel macros that connect directly to the production database. There are point-to-point integrations to other systems that were built when that server was new and have never been reviewed. And nobody has documented any of it.
Upgrading the database engine without addressing the application layer, the integration layer, and the data quality problems that have accreted over a decade produces a slightly newer server with all the same problems.
The right approach is an assessment-first model: understand what you have, what it costs to keep, what the modernisation options are for each component, and sequence the work in order of risk and value — not in order of technical ambition.
The firms that successfully modernise legacy systems treat it as a portfolio problem, not a rewrite problem. Each component gets assessed on its own merits: replatform, refactor, replace, or retire. Most things get replatformed. A few get replaced. Almost nothing needs a ground-up rebuild.
Stage 1: Assessment (weeks 1–6)
The starting point is an honest inventory of what you have. This is less exciting than building things, and it is the step most firms skip because the vendor pitching the new system has an incentive to skip it. Do not skip it.
What the assessment covers
System inventory and dependency mapping. Every application, every database, every integration. Who built it, when, on what stack. What depends on what. Which systems have no documentation. This is typically a two-week interview and discovery process with your IT team and key operational users.
Technical debt and risk scoring. For each system, a scored assessment of: the security risk (end-of-life software, unpatched CVEs, no access logging), the operational risk (what happens if this system fails), the compliance risk (can you meet your regulatory obligations with this system in its current state), and the AI-readiness risk (can AI systems consume data from this system, and if so, how).
Modernisation options analysis. For each system, a structured options assessment across the standard four paths:

Total cost of ownership comparison. The current cost of keeping legacy systems — support, risk, the developer time absorbed in workarounds, the operational overhead of manual processes that exist because the system can't do what's needed — versus the cost of modernisation. This is often the most useful output of the assessment for a CFO audience: the cost of inaction made visible.
R&D Tax Incentive eligibility assessment. Modernisation work that involves genuine technical experimentation — novel integration approaches, experimental data migration methods, new architectural patterns — can qualify for the R&DTI 43.5% refundable offset for firms under $20 million aggregated turnover. This is worth identifying at assessment stage.
Stage 2: Data extrication (weeks 6–16)
Before any application modernisation, the first priority is getting your data out of the legacy systems and into a form that is accessible, documented, and clean. This is the unglamorous prerequisite for everything else.
Moving data to managed cloud infrastructure
For most mid-market firms, the target is a managed cloud database service: Azure SQL Database, AWS RDS, or Google Cloud SQL — depending on your existing cloud footprint. The benefits over an on-premises SQL Server are operational (automatic patching, backup, high availability) and strategic (accessible via secure APIs, connectable to cloud AI services, monitored by default).
A SQL Server 2012-to-Azure SQL migration for a mid-market database is typically a four to six week project. The technical migration is usually straightforward. The time goes into:
- Schema rationalisation: tables that are no longer used, duplicate data, inconsistent naming conventions accumulated over 14 years
- Data quality audit and remediation for the tables that AI systems will query
- Access layer rebuild: replacing stored procedure-based application access with a clean API or ORM layer
- Integration re-wiring: updating the integrations that pointed at the old server
Building the API layer
The single most important enabler for AI readiness is an API layer over your core operational data. Without it, AI systems cannot query your data in real time, automations cannot push or pull data reliably, and every integration becomes a bespoke database connection that breaks when anything changes.
For applications built on legacy .NET or older web frameworks, building an API layer does not necessarily require a full rewrite. In many cases, a REST API wrapper over the existing data model — reading from and writing to the same database, but via a documented interface rather than direct SQL — takes four to eight weeks and unblocks the AI roadmap without requiring the application to be rebuilt.
Document and content migration
For firms planning RAG applications or document intelligence, there is a parallel track: getting documents out of whatever system they currently live in (SharePoint with chaotic permissions, a legacy DMS, or someone's hard drive) and into a structured, governed document repository. This involves:
- Document inventory and classification
- Permission review and rationalisation
- Metadata tagging for retrievability
- Format standardisation (scanned PDFs converted to searchable PDFs, legacy Word formats normalised)
This is not technically complex. It is time-consuming and requires human judgment about what to keep, what to archive, and what to delete. It is also a prerequisite for any document-based AI application working at an acceptable quality level.
Stage 3: Application modernisation (weeks 10–28, running parallel with stage 2)
With data accessible and documented, application modernisation can proceed in parallel. The sequencing principle is: highest security and compliance risk first, then highest operational dependency.
.NET Framework to .NET 8
A .NET 3.5 or 4.x application running on Windows Server 2012 R2 is a security and compliance liability under the Cyber Security Act 2024 and the ACSC Essential Eight patch management requirements. Moving to .NET 8 with containerisation (Docker) and cloud hosting (Azure App Service, AWS ECS, or similar) typically takes 10 to 20 weeks depending on the complexity of the application.
The approach is not a rewrite. It is a systematic migration of the existing code to the modern framework — preserving the business logic, modernising the plumbing. Where the business logic is itself poorly structured or undocumented, some refactoring is warranted. A full rewrite is rarely justified and almost always costs more than the estimate.
Legacy Access databases
These are common in mid-market firms, particularly in finance and operations. A practice running critical operational data in an Access database is carrying a specific combination of risks: single point of failure (usually one person manages it), no access logging (compliance risk under the Privacy Act 2026 audit trail requirements), and complete inaccessibility to any modern AI or integration system.
The replacement is typically a lightweight web application with a PostgreSQL backend, built to match the current functionality and no more. The priority is not to build the perfect system — it is to get the data out of Access, into a managed database with proper access controls and backup, and connected to the rest of the infrastructure. A well-scoped Access replacement takes 10 to 14 weeks.
ERP migration decisions
Legacy ERP migration is the most consequential and most expensive decision in the legacy modernisation process. The options for a mid-market firm on MYOB AccountRight, an older SAP Business One installation, or a custom-built ERP are typically:
- Move to cloud ERP (Xero, Business Central, NetSuite) — appropriate where the legacy ERP's functionality is largely standard and the firm's requirements can be met by modern SaaS
- Retain and extend — appropriate where the legacy ERP has been heavily customised for industry-specific requirements that commercial software doesn't cover well; the extension is an API layer and a better integration architecture
- Custom replacement — rarely the right answer for the core ERP; usually only justified where the system is a competitive differentiator and no commercial alternative exists
The assessment stage should produce a clear recommendation here with total cost of ownership modelled for each option. Without that modelling, ERP conversations tend to become vendor-led, which is not in the firm's interest.
Stage 4: AI enablement layer (weeks 20–30)
With stable infrastructure and accessible data, the AI enablement layer can be built without the pilot failure modes that affect firms who skip stages 1–3.
This involves:
- Configuring vector stores and embedding pipelines for document-based AI applications
- Building the feature engineering layer for predictive models
- Setting up the monitoring and data quality alerting that keeps AI systems reliable over time
- Documenting data provenance, quality, and known limitations (the data card that Privacy Act 2026 and GfAA Practice 3 require)

The APRA and regulatory dimension

APRA CPS 230 (operational resilience, effective July 2025) requires APRA-regulated entities to document and manage the operational risks of their technology systems — including legacy systems that have no vendor support, no patching, and no documented disaster recovery procedure. A SQL Server 2012 instance with no current support agreement is a documented CPS 230 risk that boards of APRA-regulated entities should be aware of.
APRA CPG 234 (information security) requires documented security controls across all systems holding material data. End-of-life operating systems and database engines with known unpatched CVEs do not meet this standard.
